General Terms and Conditions of Sale of Lindemann Silikon GmbH Co.KG | STATUS 07\/2023<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

I. Validity\/Offers<\/strong><\/p>

1. These General Terms and Conditions of Sale apply to all – including future – contracts and other services. The buyer’s terms and conditions do not oblige us even if we do not expressly object to them again after receipt.
2. Our offers are non-binding. Agreements, in particular verbal collateral agreements, promises, guarantees and other assurances made by our sales staff, only become binding upon our written confirmation.
3. The documents belonging to the offer, such as drawings, illustrations, technical data, references to standards, and statements in advertising materials are not quality specifications, assurances of properties or guarantees, unless they are expressly designated as such in writing.
4. Deviations of the delivery item from offers, samples, trial and preliminary deliveries are permissible in accordance with the respective valid DIN\/EN standards or other relevant technical standards.<\/p>

II. Prices<\/strong><\/p>

1. Our prices are in EURO, unless otherwise agreed, and apply ex works excluding packaging, plus value added tax. Billing is based on the prices valid on the day of delivery.<\/p>

III. Payment and Set-off<\/strong><\/p>

1. Our invoices are due net within 30 days from the invoice date. Payment must be made within these periods so that the amount required for invoice settlement is available to us no later than the due date. The buyer will be in default no later than 10 days after the due date of our claim, without the need for a reminder.
2. Invoices for installations, repairs, molds, fixtures, tools and tool cost shares are due immediately and payable net.
3. Counterclaims disputed by us or not legally established do not entitle the buyer to withhold payment or to set off.
4. If the payment deadline is exceeded, at the latest from default, we are entitled to charge interest at the respective bank rates for overdrafts, but at least interest at a rate of 8 percentage points above the base rate. The assertion of further damage caused by default remains reserved.
5. If it becomes apparent after the conclusion of the contract that our claim for payment is jeopardized by the buyer’s lack of solvency, we are entitled to the rights under \u00a7 321 BGB (plea of uncertainty). We are then also entitled to make all unexpired claims from the current business relationship with the buyer due and to revoke the authorization to collect in accordance with Section V\/5. In the event of default in payment, we are also entitled to demand the return of the goods after the expiry of a reasonable grace period and to prohibit the resale and further processing of delivered goods. The return is not a withdrawal from the contract. The buyer can avert all these legal consequences by payment or security in the amount of our jeopardized payment claim. The provisions of the Insolvency Code remain unaffected by the above regulations.
6. An agreed discount always refers only to the value of the goods on the invoice excluding freight and requires the complete settlement of all due liabilities of the buyer at the time of the discount. Tool costs are always payable net.<\/p>

IV. Delivery Times<\/strong><\/p>

1. Delivery periods and dates are met if the delivery item has left our premises by their expiry.
2. Delivery periods are extended to a reasonable extent in the event of measures within the scope of industrial disputes, in particular strikes and lockouts, as well as in the event of unforeseen obstacles beyond our control, insofar as such obstacles demonstrably have a significant influence on the production or delivery of the delivery item. This also applies if the circumstances occur with sub-suppliers. We will inform the buyer immediately of such circumstances. These regulations apply accordingly to delivery dates.<\/p>

V. Retention of Title<\/strong><\/p>

1. All delivered goods remain our property (reserved goods) until all claims arising from the business relationship, regardless of the legal reason, including future or conditional claims, have been fulfilled.
2. Processing and treatment of the reserved goods are carried out for us as the manufacturer within the meaning of \u00a7 950 BGB, without obliging us. The processed goods are considered reserved goods within the meaning of Section V\/1. In the event of processing, combining and mixing of the reserved goods with other goods by the buyer, we are entitled to co-ownership of the new item in proportion to the invoice value of the reserved goods to the invoice value of the other goods used. If our ownership expires due to combination or mixing, the buyer already now transfers to us the ownership rights to the new stock or item to which he is entitled, to the extent of the invoice value of the reserved goods, and stores them for us free of charge. The co-ownership rights arising hereunder are considered reserved goods within the meaning of Section V\/1.
3. The buyer may only sell the reserved goods in the ordinary course of business under his normal business conditions and as long as he is not in default, provided that the claims from the resale are transferred to us in accordance with Sections V\/4 to V\/6. He is not entitled to other dispositions of the reserved goods.
4. The buyer’s claims from the resale of the reserved goods are hereby assigned to us. They serve as security to the same extent as the reserved goods. If the reserved goods are sold by the buyer together with other goods not sold by us, the assignment of the claim from the resale applies only to the extent of the resale value of the respective reserved goods sold. In the event of the sale of goods in which we have co-ownership shares in accordance with Section V\/2, the assignment of the claim applies to the extent of these co-ownership shares.
5. The buyer is entitled to collect claims from the resale until our revocation, which is permissible at any time. We will only exercise the right of revocation in the cases mentioned in Section III\/4. At our request, the buyer is obliged to immediately inform his customers of the assignment to us – unless we do so ourselves – and to provide us with the information and documents necessary for collection.
6. The buyer must notify us immediately of any seizure or other impairment by third parties.
7. If the value of existing securities exceeds the secured claims by more than 50%, we are obliged, at the buyer’s request, to release securities of our choice to that extent.<\/p>

VI. Execution of Deliveries
<\/strong>
1. With the handover of the goods to a freight forwarder or carrier, but at the latest with the departure from the warehouse or – in the case of drop shipments – from the supplying factory, the risk passes to the buyer in all transactions, including franco and free-house deliveries. The obligation and costs of unloading are borne by the buyer. We only provide insurance at the buyer’s instruction and expense.
2. We are entitled to partial deliveries to a reasonable extent. For custom-made goods, excess and short deliveries of up to 10% of the agreed quantity are permissible.
3. Coil length according to agreement (e.g. 25 or 50m coils – on request in PE bags). Short rings are unavoidable due to production technology and are supplied accordingly marked (max. 30% of the delivery quantity). Alternatively, the rings can also be delivered with the agreed coil length with two interruptions per ring. Production takes place under technical delivery conditions.
4. The dimensional tolerances of our silicone products are determined and produced according to DIN ISO 3302-1 E2. For foam products, DIN ISO 3302-1 E3 applies. These tolerances apply unless a special tolerance has been explicitly agreed with the customer and confirmed in the order confirmation.
5. In the case of call-off orders, we are entitled to produce or have produced the entire order quantity in one go. Any change requests can no longer be taken into account after the order has been placed, unless this has been expressly agreed. Call-off dates and quantities can, unless firm agreements have been made, only be met within the scope of our delivery or production possibilities. If the goods are not called off in accordance with the contract, we are entitled to invoice them as delivered after the expiry of a reasonable grace period.<\/p>

VII. Liability for Defects<\/strong><\/p>

1. In the event of a justified, immediate notification of defects, we can, at our discretion, remedy the defect or deliver a defect-free item (subsequent performance). If subsequent performance fails or is refused, the buyer can reduce the purchase price or, after setting and unsuccessful expiry of a reasonable period, withdraw from the contract. If the defect is not significant, he is only entitled to the right to reduce the price.
2. We only bear expenses in connection with subsequent performance if they are reasonable in the individual case, in particular in relation to the purchase price of the goods. Our company is only liable within the scope of its value creation. We do not bear expenses incurred because the sold goods have been moved to a location other than the buyer’s registered office or branch.
3. As long as the buyer does not give us the opportunity to convince ourselves of the defect, in particular if he does not provide the complained goods or samples thereof upon request, he cannot invoke defects of the goods.
4. Further claims are excluded in accordance with Section VIII. This applies in particular to claims for compensation for damages that did not arise on the goods themselves (consequential damages).<\/p>

VIII. General Limitation of Liability and Statute of Limitations<\/strong><\/p>

1. Due to the violation of contractual and non-contractual obligations, in particular due to impossibility, delay, culpa in contrahendo and tort, we are only liable in cases of intent and gross negligence, limited to the foreseeable damage typical for the contract at the time of conclusion of the contract.
2. These restrictions do not apply in the event of culpable concealment of defects in the item with malicious intent or if their absence has been guaranteed. The rules on the burden of proof remain unaffected by this.
3. Unless otherwise agreed, contractual claims that the buyer has against us on the occasion of or in connection with the delivery of the goods become time-barred one year after delivery of the goods. This period also applies to goods that, according to their usual use, as well as the statute of limitations for statutory recourse claims. In cases of subsequent performance, the limitation period does not begin to run again.<\/p>

IX. Copyrights<\/strong><\/p>

1. We reserve the ownership and copyright to cost estimates, drafts, drawings and other documents; they may only be made accessible to third parties with our consent. Drawings and other documents belonging to offers must be returned upon request.
2. If we have supplied items according to drawings, models, samples or other documents provided by the buyer, the latter guarantees that no third-party property rights are infringed. If third parties prohibit us from manufacturing and supplying such items, in particular by invoking property rights, we are entitled – without being obliged to examine the legal situation – to cease any further activity in this respect and to demand compensation for damages if the buyer is at fault. The buyer also undertakes to indemnify us immediately from all related claims by third parties.<\/p>

X. Tools<\/strong><\/p>

1. If the buyer has to provide parts for the execution of the order, they must be delivered to the production site in time, free of charge and free of defects, with the agreed, otherwise with a reasonable excess quantity for any rejects. If this is not done, the costs and other consequences caused thereby shall be borne by him.
2. The production of test parts, including the costs for molds and tools, shall be borne by the buyer.
3. Ownership rights to molds, tools and other devices required for the production of ordered parts are governed by the agreements made. We undertake to keep such devices available for at least two years after the last use.
4. For tools, molds and other production devices provided by the buyer, our liability is limited to the care as in our own affairs. Costs for maintenance and care are borne by the buyer, unless separately agreed. Our storage obligation expires – regardless of the buyer’s ownership rights – at the latest two years after the last production from the mold or tool.<\/p>

XI. Place of Performance, Jurisdiction and Applicable Law<\/strong><\/p>

1. The place of performance for our delivery is, unless otherwise agreed, the registered office of our company. The place of jurisdiction for merchants is Helmstedt. We can also sue the buyer at his place of jurisdiction.<\/p>
